Terms & Conditions of Service

Welcome to Onyx Moto Labs LLC ("the Lab," "we," "us," or "our"). By booking a Mobile Service Block or initiating a Mail-In ECU Service through our website (onyxmoto.org), you ("the Client," "you," or "your") agree to be bound by the following Terms and Conditions. These terms are designed to ensure a precision service environment for both physical deployments and digital lab operations.

1. Service Models

A. Mobile Deployment: Operates as a local maintenance facility in Thornton, CO, and surrounding areas.

B. The Digital Lab (Mail-In): Operates as a national provider of ECU (Electronic Control Unit) optimization and firmware recovery.

2. Mobile Service Logistics (The "Driveway Rule")

Call-Out Fee: Every mobile booking requires a $65.00 Non-Refundable Service Call-Out Fee. This is earned upon arrival at the service site and covers deployment and initial diagnostics.

Site Requirements: Service must be performed on a level, solid surface (concrete/asphalt). The Client is responsible for HOA/Landlord compliance at the service location.

Cancellations: Mobile appointments must be rescheduled or cancelled at least 24 hours in advance. Failure to do so results in the total forfeiture of the Call-Out Fee.

3. Mail-In ECU Flashing & Optimization

Payment: Standard ECU Flashing services ($300.00) are billed 100% upfront. Services will not be initiated until payment is cleared via our secure Square payment portal.

Use Case Disclaimer: ECU optimization is intended for Closed-Course Competition Use Only. The Client acknowledges that flashing an ECU may alter emissions-related hardware and could void factory warranties. It is the Client's responsibility to comply with local, state, and federal laws regarding vehicle emissions.

Data Integrity: The Lab utilizes enterprise-grade AWS S3 storage for all original (.bin) ROM backups. While we maintain high-availability backups, the Lab is not liable for data loss caused by third-party cloud infrastructure failures.

4. ECU Recovery & "Success-Gate" Billing

No Fix, No Fee: For "Bricked" or non-responsive ECUs, the Lab operates on a "Success-Gate" model. If the unit is deemed physically non-recoverable (hardware failure/short-circuit), the Client is not billed for labor.

Licensing Tokens:

  • If a recovery requires a new license within a different tuning ecosystem (e.g., switching from open-source to a professional platform), a $100.00 Ecosystem Licensing Fee will be added to the final invoice.
  • If the unit is already licensed within the Lab's existing software environment, this fee is waived.

Verification: Final payment for recovery services is due immediately upon the Lab's verification of successful firmware communication. Units will not be released for return shipping until the invoice is paid in full.

5. Shipping & Liability

Inbound Shipping: The Client is the "Shipper of Record" for all inbound units. The Lab is not liable for units lost or damaged by carriers (USPS, UPS, FedEx) during transit to our Thornton facility. We strongly recommend $1,000.00 in declared value insurance for all inbound shipments.

Outbound Shipping: The Lab will return units via the carrier selected during checkout. We provide tracking information via automated SMS (Twilio) or email. Our liability ends once the package is scanned as "Received" by the carrier.

6. Lifetime Support & Re-Flash Policy

Original Purchaser: Lifetime re-flashes (labor-free) are provided exclusively to the original purchaser for the specific ECU hardware ID originally serviced. This benefit is non-transferable upon the sale of the motorcycle.

Logistics Fee: While the labor for re-flashes is $0.00, the Client is responsible for all shipping and handling costs both ways.

Scope: Re-flashes are intended for map adjustments (e.g., change of exhaust or fuel type). This policy does not cover recovery for units bricked by the Client or third-party hardware failures.

7. Colorado Motor Vehicle Repair Act Compliance

In accordance with C.R.S. Title 42, Article 9, mobile Clients are entitled to written estimates. For mail-in services, the checkout total serves as the formal estimate. We will not exceed the labor estimate by more than 10% without explicit digital consent.

8. Parts & Warranty

Sourced Parts: 90-day warranty on labor for parts sourced by the Lab.

Customer-Supplied Parts: Zero warranty on fitment or performance. Labor to correct issues arising from faulty customer-supplied hardware is billed at our standard hourly rate.

9. Limitation of Liability

Maximum Liability: To the maximum extent permitted by Colorado law, the total liability of Onyx Moto Labs LLC for any claim—whether based on physical repair or digital firmware modification—shall not exceed the total amount paid by the Client for that specific transaction.

Mechanical Integrity: The Client acknowledges that performance tuning increases stress on engine components. The Lab is not liable for mechanical failures (engine, transmission, or drivetrain) occurring after an ECU optimization has been performed.

10. Abandoned Property

Any unit left in the possession of the Lab for more than 60 days following a Final Invoice, where the Client has failed to respond to at least three (3) contact attempts (including one via Certified Mail), shall be deemed abandoned. The Lab reserves the right to dispose of, or resell, abandoned units to recoup labor, storage, and licensing costs in accordance with Colorado Revised Statutes.

11. Governing Law

These Terms and Conditions are governed by the laws of the State of Colorado. Any disputes shall be resolved in the courts of Adams County, Colorado.
